{"id":5328,"date":"2026-07-27T14:20:42","date_gmt":"2026-07-27T12:20:42","guid":{"rendered":"https:\/\/eurof-wftu.eu\/?p=5328"},"modified":"2026-07-27T14:20:42","modified_gmt":"2026-07-27T12:20:42","slug":"warning-eu-inc-28-regime-a-real-danger-to-workers","status":"publish","type":"post","link":"https:\/\/eurof-wftu.eu\/?p=5328","title":{"rendered":"WARNING: EU Inc. &#8211; 28 REGIME, A REAL DANGER TO WORKERS"},"content":{"rendered":"\n<p class=\"wp-block-paragraph\">New EU legislation on the incorporation of companies is making rapid progress; it will supersede national laws and become a European framework. Indeed, the new company law regime will be known as \u2018Regime 28\u2019 (EU inc.), as it will be added to \u2013 and will supersede \u2013 the 27 ordinary legal systems of the individual Member States.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The aim is to respond to the recommendations of the Draghi Agenda to strengthen the EU\u2019s competitiveness, which also provides for a major boost to European defence.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">At the heart of the new company form lies the simplification (read: superseding) of existing regulations, particularly regarding the option to establish the registered office in countries that are most favourable to businesses in terms of tax and legislation and, conversely, which offer the least protection for workers\u2019 rights. The ability to&nbsp;set&nbsp;up a company within 48 hours; no protection of workers\u2019 collective rights, e.g. collective bargaining, representation on corporate bodies; the application of the contractual regime and labour regulations of the country chosen as the registered office even to workers based in branches in countries other than that one, with the inevitable consequent weakening of collective and individual safeguards; the removal of the obligation to report the number of workers employed in branches; loss for workers of their status as preferential creditors in the event of the company\u2019s bankruptcy or closure, etc.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It is clear that such a reform, which has already been approved by the European Commission and is now under consideration by the European Parliament, if it becomes definitive and comes into force, will lead to a genuine deregulation that will inevitably have a severe impact on workers\u2019 protections in the new countries. In an attempt to sugar-coat the pill, it is argued that this new corporate form will not replace those already existing in the various EU countries but will \u2018coexist\u2019 with them, in the sense that it will be possible to choose to use it, for example, in Italy, instead of the SrL.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The governments of the 27 Member States are called upon to give their own assessment of this proposal \u2013 which is now more than just a proposal \u2013 and, albeit with some reservations, government approval is expected.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">One cannot assess the implementation of this regulation in isolation from the wider process that the European Union has&nbsp;set&nbsp;in motion to try to regain \u2018political clout\u2019 on the international stage. The Draghi Agenda, called for a few months&nbsp;ago&nbsp;by von der Leyen, is the very same agenda that calls for the immediate establishment of a European defence system and a European army, and which supports NATO and RearmEurope. It is an agenda that has found support from the major European chancelleries and has met with no opposition from the ETUC or the ITUC.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Now that this proposal on corporate structures \u2013 which is extremely serious given the repercussions it may have on workers \u2013 appears to override the need for consultation with trade union organisations within the framework of \u2018social dialogue\u2019, thereby calling into question their purported right to be involved at an early stage on issues of significance to the world of work, the ETUC is sounding a feeble alarm, whilst its own national organisations are giving the green light to the move \u2013 as is already happening in Italy, for example.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">EUROF is sounding the alarm and calling for action at local European Union offices in September to block the European Parliament\u2019s approval of this legislation, which poses an absolute threat to workers.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">EUROF-WFTU<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Italian version:<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>ATTENZIONE! EU Inc. \u2013 REGIME 28, UN VERO PERICOLO PER I LAVORATORI<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Sta avanzando a passi veloci una nuova normativa UE sulla costituzione di societ\u00e0 che supera le legislazioni nazionali e diventa un soggetto europeo, infatti il nuovo regime societario si chiamer\u00e0 Regime 28 (EU inc.) in quanto si aggiunger\u00e0, superandole, alle 27 legislazioni ordinarie dei singoli ordinamenti.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">L\u2019obbiettivo \u00e8 quello di andare incontro alle raccomandazioni dell\u2019Agenda Draghi per rafforzare la competitivit\u00e0 dell\u2019UE che prevede anche un forte impulso alla difesa europea.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Al centro della nuova forma societaria la semplificazione (leggi superamento) delle normative esistenti, in particolare per quanto riguarda la possibilit\u00e0 di scelta di collocare la sede legale nei Paesi fiscalmente e legislativamente pi\u00f9 favorevoli alle imprese e, di converso, che garantiscano la minor tutela dei diritti dei lavoratori. Possibilit\u00e0 di costituire una societ\u00e0 in 48 ore, nessuna tutela dei diritti collettivi dei lavoratori, es. contrattazione, rappresentanza negli organismi societari, applicazione del regime contrattuale e delle norme sul lavoro del Paese scelto come sede legale anche per i lavoratori collocati in filiali in Paesi diversi da quello, con inevitabile conseguente indebolimento delle tutele collettive e soggettive, superamento dell\u2019obbligo di comunicare il numero di lavoratori impiegati nelle filiali, perdita per i lavoratori della condizione di creditori privilegiati in caso di fallimento o chiusura della societ\u00e0, etc.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u00c8 evidente che una tale riforma, gi\u00e0 passata per l\u2019approvazione della Commissione Europea e ora al vaglio del Parlamento di Strasburgo, se diverr\u00e0 definitiva e operante porter\u00e0 ad una vera e propria deregulation che inevitabilmente ricadr\u00e0 pesantemente sulle tutele dei lavoratori dei nuovi Paesi. Per cercare di indorare la pillola si sostiene che tale nuova forma societaria non sostituir\u00e0 quelle esistenti nei vari Paesi dell\u2019Unione ma si \u201caffiancher\u00e0\u201d nel senso che sar\u00e0 possibile scegliere di utilizzarla, ad esempio, in Italia, al posto della SrL.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">I Governi dei 27 Paesi sono chiamati a dare una propria valutazione su questa che \u00e8 ormai pi\u00f9 di una proposta e, seppure con qualche distinguo, ci sar\u00e0 l\u2019approvazione dei Governi.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Non si pu\u00f2 valutare l\u2019attuazione di questa norma sganciandola da tutto il processo che l\u2019Unione Europea ha messo in moto per cercare di recuperare \u201cpeso politico\u201d sullo scenario internazionale. L\u2019Agenda Draghi, sollecitata alcuni mesi fa dalla Von der Leiyen, \u00e8 la stessa che invoca la immediata costruzione della difesa europea, dell\u2019esercito europeo e che sostiene la NATO e il RearmEurope. Un\u2019Agenda che ha trovato il sostegno delle maggiori Cancellerie europee e nessuna opposizione da parte della CES e della ITUC.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ora che questa proposta sugli assetti societari, molto grave per le ricadute che pu\u00f2 avere sui lavoratori e le lavoratrici sembra superare l\u2019esigenza della concertazione con le organizzazioni sindacali del \u201cdialogo sociale\u201d, mettendone in discussione il proprio preteso diritto ad essere coinvolte preventivamente sulle questioni di rilievo per il mondo del lavoro, la CES lancia un&nbsp; flebile allarme mentre le sue stesse organizzazioni a livello nazionale concedono il via libera all\u2019operazione, come ad esempio sta gi\u00e0 avvenendo in Italia.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">EUROF, l\u2019Ufficio Europeo della Federazione Sindacale Mondial, lancia l\u2019allarme e la necessit\u00e0 di mobilitarsi presso le sedi locali dell\u2019Unione Europea, a settembre, per bloccare l\u2019approvazione da parte del Parlamento Europeo di questa norma che rappresenta un assoluto pericolo per le lavoratrici e i lavoratori.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>New EU legislation on the incorporation of companies is making rapid progress; it will supersede national laws and become a European framework.
